To support this ambitios journey we are looking for a Corporate Counsel to join our M&A Legal team. In the M&A Legal team we share a “challenge accepted” mindset and are guided by our winning behaviours of simplification, collaboration, and accountability, to achieve our goals.

As Corporate Counsel you will act as legal support for the legal business partner within the business development area and handle parts of larger M&A projects and/or run smaller projects M&A projects independently.

Your role
You will be responsible for providing legal advice and support within the M&A scope with a strong focus on commercially viable solutions, including drafting, reviewing and negotiating business development agreements and be an important contributor to the separation or integration activities in connection with business development projects.

Key aspects of your job will be:

• Provide general legal support to the Business Development team, including supporting on: Confidentiality agreements; due diligence processes; risk assessments; NBOs; contract negotiations; regulatory filings (merger filings, FDI, etc.)
• Support legal parts of separation and integration activities
• Manage external legal counsel
• Support on input to deal structuring considerations
• Support on strategic considerations in regards to contract negotiation and drafting
• Ensure alignment with key stakeholders within Global Legal, IPR & Compliance and the business
• Understanding line of business’ needs in a BD context
• Conveying contractual terms to line of business

Your qualifications
To succeed in this role, we imagine that you have the following qualifications:

• Master of Laws (Cand. Jur.), M.Sc. in business administration and commercial law (cand.merc.jur) or similar
• Approximately 3-5 years of post-graduation experience
• Strong professional legal skills within M&A, contract/commercial law and licensing
• Strong project management skills, with the ability to drive projects to completion
• Communication and interpersonal skills, with the ability to work collaboratively with all levels of the organization
• Strong English skills, both oral and written
• Strong business acumen
