We are looking for a part-time Senior Legal Counsel!

We offer you a unique opportunity be a legal spider-in-the-web in a new business unit within Novo Holdings, acting as the anchor on all legal workstreams. Whereas the variety of legal tasks is broad and diverse, we are in the exciting stage of building a robust and scalable unit to deliver on a unique proposition which will grow over time. Novo Holdings is the holding company of the Novo Group and is a Danish private limited liability company wholly owned by the Novo Nordisk Foundation. As of 2023, the Novo Nordisk Foundation had total assets under management of more than DKK 1,100 billion, including an investment portfolio of DKK 201 billion, managed by Novo Holdings.

The Job
As Senior Legal Counsel, you will work with certain workstream related to large M&A transactions, funds and the structural and regulatory setup around them. As part of a smaller team, you will carry out both the day-to-day legal operations of the new unit as well as drive the strategic direction for all legal matters.

Your main tasks are broad, however, will not all be required at once will be to:

  • Support 2-3 acquisitions & divestments per annum
  • Manage the process of instructing external legal counsel across various projects, including:
    • Providing legal advice on transactions, corporate structuring, regulatory matters, including financing arrangements
    • Drafting and negotiating fund documentation for new fund launches
    • Review and drafting of SLAs and NDAs
  • Provide legal advice on fund set-up, on-boarding and daily administration of Luxembourg AIFs
  • Liaise with the DFSA (Finanstilsynet), as well as the external legal counsel on legal matters including new fund approvals, amendments to fund documentation, and updates to meet the requirements for regulatory changes
  • Overseeing the process of passporting the AIFM to other jurisdictions and/or registration of AIFs for marketing in other jurisdictions with the appointed registration agent if relevant
  • Attending and participating, if relevant, at board meetings, as well as quarterly catchups with investors and other stakeholders
  • Contribute to fulfil the legal key strategic initiatives and goals and share best-in class legal processes and governance practices
  • Oversight of outsourcing / service provider contracts together with the CFO
  • Oversight of AML on investments

Professional Qualifications
We are looking for a candidate with:

  • A Master’s degree in law (LL.M)
  • Minimum of 7 years’ experience post degree from a top tier law firm or as in-house counsel with significant experience preferably within corporate law, Private Equity and fund structuring (preferably in a regulated environment)
  • Great abilities to interact and build relations with various stakeholders at all levels
  • Strong business understanding
  • Fluency in English, both spoken and written
